These UniZeus web portal usage conditions (“conditions”) dictate your ability to access and interact with the UniZeus site positioned at http://unizeus.com/ (the “portal”). The portal is an original, copyrighted work owned by UniZeus P.C. (“UniZeus”, “we”, “us”, “our”). Various features on the platform may be subject to supplementary guidelines, conditions, or rules, which will be available on the portal concerning such features. Any additional conditions, guidelines, and rules are integrated by reference into these conditions. Your interaction with and access to the portal is also governed by our privacy policy.
These conditions establish the lawfully binding terms and conditions that direct your interaction with the portal. By navigating or interacting with the portal, you accept these conditions (on your own behalf or that of the organization you represent), and you declare and confirm that you have the relevant rights, authority, and ability to agree to these conditions (for yourself or the organization you represent). If you are younger than 18 years old, you are not allowed to access or interact with the portal or agree to these conditions. If you don’t accept all the provisions of these conditions, please refrain from accessing and/or using the portal.
We may revise these conditions periodically; your ongoing use of the portal after such revisions signifies your agreement to such changes.
1. ACCESS TO THE PORTAL
Permission. Based on these conditions, UniZeus provides you a non-transferrable, non-exclusive, revocable, limited privilege to use and access the portal strictly for your personal internal utilization.
Specific Limitations. The permissions provided to you in these conditions are bound by the following limitations: (a) you will not license, sell, rent, lease, transfer, delegate, distribute, host, or otherwise commercially use the portal, whether partially or wholly, or any content showcased on the portal; (b) you will not alter, create derivative versions of, disassemble, reverse compile or reverse engineer any segment of the portal; (c) you will not access the portal with the intention to create a similar or competitive website; and (d) except as explicitly mentioned herein, no part of the portal can be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any format or by any means. Unless otherwise stated, any future release, update, or other addition to the portal’s functionality shall abide by these conditions. All copyright and other proprietary notices on the portal (or on any content displayed on the portal) must be retained on all copies thereof.
Alteration. UniZeus holds the right, at any moment, to alter, suspend, or halt the portal (in part or entirely) with or without informing you. You concur that UniZeus will not be liable to you or any third party for any alteration, suspension, or discontinuation of the portal or any part thereof.
No Support or Maintenance. You acknowledge and agree that UniZeus is under no obligation to provide you with any support or maintenance in relation to the portal.
Ownership. You acknowledge that all intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the portal and its content are owned by UniZeus or UniZeus’s providers. Neither these conditions nor your access to the portal transfers to you or any third party any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in Section 1.1. UniZeus and its providers reserve all rights not granted in these conditions. There are no licenses granted implicitly under these conditions.
Accounts. To use certain features of the portal, you must sign up for an account (“Account”) and provide specific information about yourself as guided by the account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information. You can delete your Account at any time, for any reason, by following the instructions on the portal. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify UniZeus of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. UniZeus cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
2. ACCEPTABLE UTILIZATION POLICY
The following conditions compose our “Acceptable Utilization Policy”: You shall not: (a) upload, transmit, or distribute via or to the portal any computer viruses, worms, or any software designed to harm or alter a computer system or data; (b) interfere with, disrupt, or create an undue load on servers or networks linked to the portal, or infringe on the regulations, policies, or procedures of such networks; (c) try to gain unauthorized access to the portal (or to other computer systems or networks connected to or used alongside the portal), whether through password mining or any other methods; (d) interfere with any other user’s usage and pleasure of the portal; or (e) use software or automated agents or scripts to create multiple accounts on the portal, or to generate automated searches, requests, or queries to (or to strip, scrape, or mine data from) the portal (however, we provisionally provide to the operators of public search engines revocable permission to use spiders to copy materials from the portal for the sole purpose of and solely to the extent necessary for creating publicly accessible searchable indices of the materials, but not caches or archives of such materials, subject to the parameters set forth in our robots.txt file).
3. USER CONTRIBUTIONS
“User Contributions” denotes any and all data and content that a user provides to, or uses with, the portal. You are entirely accountable for your User Contributions. You assume all potential risks connected with the utilization of your User Contributions, including any reliance on its accuracy, completeness, or usefulness by others, or any exposure of your User Contributions that personally identifies you or any third party. You hereby affirm and guarantee that your User Contributions does not violate Section 2. You additionally affirm that you possess and/or have a royalty-free, perpetual, irrevocable, worldwide, non-exclusive right (including any moral rights) and license to use, license, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, derive revenue or other remuneration from, and communicate to the public, perform and display your User Contributions (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed, for the full term of any worldwide intellectual property right that may exist in your User Contributions. You must not represent or suggest to others that your User Contributions is in any way provided, sponsored, or endorsed by UniZeus P.C. As you alone are accountable for your User Contributions, you may expose yourself to liability if, for example, your User Contributions violates Section 2. UniZeus P.C is not obligated to backup any User Contributions, and your User Contributions may be deleted at any time without prior notice. You are solely responsible for creating and maintaining your own backup copies of your User Contributions if you desire.
Grant. You hereby confer (and you represent and guarantee that you have the right to confer) to UniZeus P.C an irrevocable, nonexclusive, transferable, sublicensable, royalty-free and fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Contributions, and to grant sublicenses of the aforementioned rights, solely for the purposes of using your User Contributions in connection with the portal. You hereby irrevocably waive (and agree to cause to be waived) any claims and assertions of moral rights or attribution with respect to your User Contributions.
Regulation. We retain the right (but have no obligation) to investigate and/or take suitable action against you in our sole discretion if you violate the Acceptable Utilization Policy or any other provision of these terms or otherwise create liability for us or any other person. Such action may include reporting you to law enforcement authorities.
Suggestions. If you provide UniZeus P.C with any feedback or suggestions regarding the portal (“Suggestions”), you hereby assign to UniZeus P.C all rights, title and interest in and to such Suggestions and agree that UniZeus P.C shall have the right to use and fully exploit such Suggestions and related information in any manner it deems appropriate. UniZeus P.C will treat any Suggestions you provide to UniZeus P.C as non-confidential and non-proprietary. You agree that you will not submit to UniZeus P.C any information or ideas that you consider to be confidential or proprietary.
4. UNIZEUS P.C. COMMUNICATIONS
Generally. You may have the opportunity to contact us via phone, or we may contact you if you provide us with your email address. Communications from us and our affiliated companies may include updates concerning your use of the portal, new and existing features on the portal, and news concerning UniZeus P.C. and industry developments. You will have the ability to opt out of receiving such communications by following the unsubscribe instructions in the communication itself. For additional information about how we use your personal information, please refer to our Privacy Policy. YOU ACKNOWLEDGE THAT YOU ARE NOT REQUIRED TO CONSENT TO RECEIVE PROMOTIONAL EMAILS AS A CONDITION OF USING THE PORTAL.
Electronic Communications. The communications between you and UniZeus P.C use electronic means, whether you use the portal or send us emails, or whether UniZeus P.C posts notices on the portal or communicates with you via email. For contractual purposes, you (a) consent to receive communications from UniZeus P.C in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that UniZeus P.C provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in a hardcopy writing. The foregoing does not affect your non-waivable rights.
5. INDEMNIFICATION
To the maximum extent permitted by relevant law, you agree to indemnify and hold UniZeus P.C. (and its officials, employees, and agents) harmless from and against any losses, damages or claims, including costs and attorney’s fees, arising from any claim or demand made by a third party based on or resulting from (a) your use of the portal, (b) your breach of these Terms, or (c) your infringement of applicable laws or regulations. UniZeus P.C. reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are obliged to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of UniZeus P.C. UniZeus P.C. will make reasonable efforts to inform you of any such claim, action, or proceeding upon becoming aware of it.
6. THIRD-PARTY LINKS AND APPLICATIONS; RELEASE
Third-Party Links and Applications. The portal may contain links to third-party websites and services, and applications for third parties (collectively, “Third-Party Links and Applications”). Such Third-Party Links and Applications are not under the control of UniZeus P.C., and UniZeus P.C. is not responsible for any Third-Party Links and Applications. UniZeus P.C. provides access to these Third-Party Links and Applications only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to any Third-Party Links and Applications. You use all Third-Party Links and Applications at your own risk, and you should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links and Applications, the applicable third party’s terms and policies apply, including the third party’s privacy and data gathering practices. You should make whatever investigation you feel necessary or appropriate before proceeding with any transaction in connection with such Third-Party Links and Applications.
Release. To the maximum extent permitted by applicable law, you hereby release and forever discharge UniZeus P.C. (and our officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature (including personal injuries, death, and property damage), that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the portal (including interactions with any other portal users or any Third-Party Links and Applications). If you are a California resident, you hereby waive California Civil Code 1542 in connection with the foregoing, which states, “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
7. Disclaimers
You acknowledge and understand that access to the Portal is provided to you free of charge. As such, to the fullest extent permitted by applicable law and without prejudice to your statutory rights, the Portal is provided on an “as-is” and “as available” basis, with all faults and no guarantees regarding outcomes or performance. UniZeus P.C. (and our suppliers) expressly disclaim any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. We (and our suppliers) make no warranty that the Portal will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe. If applicable law requires any warranties with respect to the Portal, all such warranties are limited in duration to ninety (90) days from the date of first use.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.
You may benefit from additional rights under the mandatory law of your country of residence; these terms are not intended to exclude or limit such additional ights.
8. Limitation on Liability
To the fullest extent permitted by applicable law, in no event shall UniZeus P.C. (or our suppliers) be liable to you or any third party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of, or inability to use, the site, even if UniZeus P.C. has been advised of the possibility of such damages. Access to, and use of, the site is at your own discretion and risk, and you will be solely responsible for any damage to your device or computer system, or loss of data resulting therefrom.
To the fullest extent permitted by applicable law, notwithstanding anything to the contrary contained herein, our liability to you for any damages arising from or related to these terms (for any cause whatsoever and regardless of the form of the action), will at all times be limited to a maximum of one hundred and twenty Euros (EURO 120.00€). The existence of more than one claim will not enlarge this limit. You agree that our suppliers will have no liability of any kind arising from or relating to these terms.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
9. Term and Termination
Subject to this section, these terms will remain in full force and effect while you use the site. We may suspend or terminate your rights to access or use the site at any time for any reason at our sole discretion, including for any use of the site in violation of these terms. Upon termination of your rights under these terms, your right to access and use the site will terminate immediately. UniZeus P.C. will not have any liability whatsoever to you for any suspension or termination of your rights under these terms. Even after your rights under these terms are terminated, sections 1.2 through 12 of these terms will remain in effect.
10. Copyright Policy
UniZeus P.C. respects the intellectual property of others and asks that users of site do the same. In connection with our site, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination, in appropriate circumstances, of users of our site who are repeat infringers of intellectual property rights, including copyrights. If you believe that one of our users is, through the use of our site, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification must be provided to our designated Copyright Agent:
identification of the copyrighted work(s) that you claim to have been infringed;
identification of the material on the site that you claim is infringing and that you request us to remove;
sufficient information to permit us to locate such material; a statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; a statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner; your address, telephone number, and e-mail address; and your physical or electronic signature.
